BILLBOARD ADVERTISING SERVICE AGREEMENT

Billboard Advertising Service Agreement ("Agreement") governs the use of the AdBIQ self-service digital billboard advertising platform. By completing an order, the user ("You," "User") agrees to the following legally binding terms.
1. Introduction
1.1 Overview
This Agreement establishes the terms and conditions under which AdBIQ, operated by ABOVEZ LLC, provides access to its digital billboard advertising platform, enabling users to select and place orders independently, with the option for AdBIQ's team to assist in detailing and finalizing campaigns as needed.
1.2 Binding Agreement
By completing an order, clicking a checkbox confirming acceptance, submitting payment, or otherwise using the AdBIQ platform, You acknowledge and agree to this Agreement.
- If You do not agree to these terms, You must not use the AdBIQ service or complete a transaction.
- If You complete an order without reading this Agreement, Your acceptance is still legally binding.
This includes:
- Accepting automatic subscription renewals.
- Waiving the right to refunds, except as expressly provided.
- Compliance with all advertising standards and guidelines.
1.3 No Account Registration Required
AdBIQ operates as a direct-access platform, meaning:
- No user accounts or authentication are required.
- Orders are placed and managed through Stripe’s payment system and/or another payment system.
- Users must retain all order confirmation emails for reference.
1.4 Modifications to the Agreement
AdBIQ reserves the right to update or modify this Agreement at any time. Continued use of the platform constitutes acceptance of any changes.
1.5. Effective Date: The Effective Date of this Agreement is January 01, 2024. For each User, this Agreement becomes effective on the earlier of:
- The date the User completes an order, clicks a checkbox confirming acceptance, or otherwise uses the AdBIQ platform; OR
- The date this Agreement is first published or last updated as indicated above.
1.6. Impression Metrics and Measurement Standards
- Impression: A calculated instance of an advertisement being viewed by an individual on a billboard. Impressions are estimated using third-party analytics, incorporating mobile tracking, location data, and traffic analytics. These figures represent projections rather than exact counts.
- Average Daily Impressions: The estimated number of individuals per day who are expected to view an advertisement on a specific digital billboard. These figures are derived from predictive data models using location-based analytics.
- Impressions Per Spot: The anticipated number of views an advertisement receives during a single rotation or display cycle on a digital billboard. This estimate is calculated using third-party data sources and industry-standard methodologies.
2. Service Description & Subscription Model
2.1 Self-Service Platform
AdBIQ provides a self-service digital billboard advertising platform, allowing Users to:
- Search for available billboard locations using ZIP code and radius filters.
- Select ad placements for a minimum of 30 days.
- Provide advertising creatives that meet AdBIQ’s content and format requirements (outlined in a separate document), either by direct submission to AdBIQ via email or through other designated methods.
Ad placements are subject to availability at the time of selection.
2.2 Subscription Model
- Billing Cycle: A 30-day minimum placement, which automatically renews unless canceled before the next billing cycle.
- Renewal Process: Unless canceled, the subscription renews every 30 days for continued ad placement.
- Payment Processing: Payments are securely processed via Stripe, which supports major credit/debit cards and digital payment methods.
- Cancellation: Users may cancel at any time, but the ad will continue to run until the end of the current billing cycle, with no refunds for unused days.
Users are responsible for reading and understanding subscription terms before purchase. Lack of awareness of automatic renewal does not constitute grounds for a refund.
2.3 Subscription Plans & Pricing
- Plan Features: AdBIQ offers multiple subscription plans, each with different features, pricing, and service limitations. Plans may include:
- Number of impressions per billing cycle.
- Access to specific billboard locations.
- Creative or campaign management services.

- The features and pricing listed on this page/section are subject to change at AdBIQ’s sole discretion.
- Plan Modifications:
- For monthly plans, AdBIQ will provide at least 30 days' notice of changes affecting pricing or features.
- For prepaid plans, Users retain their current benefits until the prepaid term ends.
Users are responsible for reviewing plan details and terms before purchase. Lack of awareness of plan limitations or updates does not constitute grounds for a refund.
2.4 Billboard Selection & Availability
Users can select billboard placements based on:
- Geographic search (ZIP code, radius, or map-based selection).
- Availability displayed at the time of purchase.
- Estimated impressions, which are based on historical data and industry-standard tracking.
Billboard availability is subject to change due to high demand, third-party operator adjustments, or maintenance schedules.
2.5 Location Adjustments & Changes
- AdBIQ reserves the right to adjust billboard placements for operational or technical reasons, including:
- Changes in operator availability or contractual agreements.
- Regulatory requirements that necessitate relocation.
- Network optimization needs to ensure service consistency.
- Location Adjustments & Notifications: If an ad placement is modified due to operational constraints, AdBIQ will notify the User via email within 24 hours. Alternative placements will be selected based on equivalent traffic volume and geographic relevance. Users may request an alternative within 48 hours of notification, but refunds are not available for placement changes.
- If a location adjustment is necessary, AdBIQ will notify the User with alternative placement options when possible.
- Billboard network limitations are not grounds for refunds, as flexibility is an industry-standard practice.
Users may request a location change once per billing cycle, subject to:
- Alternative location availability within the requested geographic region.
- Approval from AdBIQ and the billboard operator.
- A processing period of up to 3 business days.
- Change requests must be submitted as email and are not guaranteed.
2.6 User Responsibilities
- Users must ensure that provided ad creatives comply with AdBIQ’s content and technical requirements.
- Users are responsible for verifying billboard placements before confirming an order.
- Failure to meet creative standards may result in ad rejection without refund.
3. Payment, Billing, and Cancellations
3.1 Payment Processing
- All payments are securely processed via Stripe, which supports major credit/debit cards and digital payment methods.
- Full payment is required at the time of order submission—campaigns will not be scheduled or activated until payment is successfully processed.
- Upon successful payment, Users receive a confirmation email and invoice for their records.
By submitting a payment, the User expressly authorizes the transaction and confirms ownership or legal permission to use the payment method. AdBIQ employs secure authentication protocols (including, but not limited to, Stripe 3D Secure) to verify user transactions. Unauthorized use of a credit/debit card does not constitute grounds for a refund. The User is responsible for preventing unauthorized access to their financial credentials.
3.2 Automatic Renewal & Recurring Charges
- AdBIQ operates on a subscription-based model with automatic renewal every 30 days, unless canceled before the next billing cycle.
- Users will be automatically charged for the next billing cycle unless they take action to cancel before renewal.
- Where available, Users may manage their subscription settings via Stripe’s self-service interface.
- Subscription fees are non-refundable once charged, except as expressly stated in this Agreement.
3.3 Cancellation Policy
Users may cancel their subscription at any time, subject to the following conditions:
- Effective Cancellation Date:
- Cancellations take effect at the start of the next billing cycle.
- Advertisements will continue running for the full paid period even after a cancellation request is submitted.
- No prorated refunds are issued for unused portions of the billing cycle.
- Cancellation Request Process:
- Users must submit a cancellation request via email to AdBIQ at least 24 hours before the next renewal date to avoid an additional billing cycle.
- Upon successful cancellation, AdBIQ will send a confirmation email within 12 hours of receiving the request.
- If a user does not receive a confirmation email within 12 hours, they must follow up with AdBIQ support to verify their cancellation status.
- Pre-Renewal Notification:
- As a courtesy, AdBIQ may, at its sole discretion, send an automated pre-renewal notice via email up to 7 days before the renewal date.
- However, Users acknowledge that failure to receive or review such a notification does not affect the validity of the renewal charge.
- Users are solely responsible for tracking their subscription status and renewal dates.
- Failure to receive an email notice does not waive the User’s responsibility to cancel their subscription.
- Subscription Management via Stripe (Where Applicable):
- Where available, Users may manage their subscription through Stripe’s self-service interface.
- If Stripe does not support self-cancellation in the User’s region, cancellation must be processed directly through AdBIQ’s email support team.
- Disputes Related to Cancellation:
- If a User believes their cancellation request was not processed correctly, they must notify AdBIQ within 7 days of the disputed charge.
- AdBIQ will review the cancellation request and respond within 5 business days.
- Failure to submit a dispute within this timeframe waives the right to contest the charge.
3.4 Refunds & Chargebacks
- Refund Policy: Refunds are not provided for unused services or voluntary non-utilization of an active campaign. Refunds will only be issued if: (1) AdBIQ fails to deliver a scheduled campaign due to an internal system error, or (2) a duplicate charge occurs due to a Stripe processing issue. Users must submit refund requests in writing within 7 days of the transaction date. Any disputes initiated outside of this timeframe will not be considered.
- Users may be eligible for a full refund only if AdBIQ refuses the service before ad placement begins.
- If a User initiates an unauthorized chargeback through their bank or Stripe, AdBIQ reserves the right to:
- Revoke future access to the platform.
- Pursue legal action to recover disputed amounts.
- Users must first submit all billing disputes in writing via email to AdBIQ before initiating a chargeback.
3.5 Subscription Modifications & Customer Support
- Users can request subscription changes or campaign adjustments through:
- Stripe’s self-service interface (if applicable).
- AdBIQ Customer Support, which can assist with billing inquiries and subscription modifications.

- Response Time: Standard inquiries are addressed within 1-2 business days.
- Customer Support Response Time: AdBIQ is committed to timely customer service responses. Standard inquiries will receive a reply within 48 business hours. If a resolution is not provided within 72 business hours, Users may request escalation to a senior representative. Lack of immediate availability does not constitute grounds for chargebacks or service complaints.
3.6 Billing Disputes & Resolution
- Users must submit any billing disputes or service-related issues in writing via email.
- Users are required to provide supporting documentation (e.g., invoices, transaction receipts, email correspondence).
- AdBIQ aims to resolve billing disputes within 30 business days, where possible.
4. Refunds & Dispute Resolution
4.1 Refund Policy
AdBIQ maintains a strict no-refund policy except in the following case:
- A full refund will be issued only if AdBIQ refuses service before ad placement begins.
4.2 Non-Refundable Cases
Users are not entitled to refunds under the following circumstances:
- User-initiated cancellations: If a campaign is canceled after payment has been processed, it will continue running until the end of the paid 30-day period, and no refund will be provided.
- Early termination: Users who voluntarily stop their campaign before the paid period ends will not receive a refund.
- Creative rejection: If a User submits a non-compliant advertisement that violates AdBIQ’s content or technical requirements, no refund will be provided for rejected creatives.
- Performance expectations: AdBIQ does not guarantee specific impression counts, conversions, or engagement rates.
4.3 Dispute Resolution Process
- Users must first submit all disputes in writing to AdBIQ customer support at team@adbiq.com.
- Disputes must be submitted within 7 days of the disputed transaction.
- Users must provide documented proof supporting their claim (e.g., billing receipts, communication records).
- If a dispute cannot be resolved within 30 days, AdBIQ may, at its discretion, offer partial credit for future advertising placements (but not refunds).
4.4 Chargeback Policy
- If a User initiates an unauthorized chargeback through their bank or Stripe, AdBIQ reserves the right to:
- Immediately suspend future advertising services for the User.
- Pursue legal action for fraudulent disputes.
5. Campaign Modifications
5.1 Billboard Location Changes
- Users may request one location change per month, subject to:
- Availability of alternative billboards within the same geographical region.
- Technical feasibility as determined by AdBIQ.
- Location change requests must be submitted via email to support at least 3 business days before the desired change date.
- AdBIQ does not guarantee that a requested billboard change will be possible.
5.2 Creative Changes (Banner Updates)
- Creative changes are permitted based on the selected pricing plan.
- If a User’s plan includes creative revisions:
- A new banner may be uploaded following the same submission and approval process.
- The updated banner will replace the previous design but will not extend the campaign duration.
- If a User’s plan does not include creative changes, an additional fee may apply for modifying the advertisement.
5.3 Change Request Process
- All change requests must be submitted in writing to team@adbiq.com.
- Requests must include:
- The current billboard location and creative.
- The desired new location (if applicable).
- The updated creative file (if applicable).
- AdBIQ will confirm approval or rejection within 3 business days.
5.4 Service Adjustments and Operational Changes
- AdBIQ reserves the right to modify service parameters, availability, and pricing at its discretion to align with operational requirements.
- If a significant operational change affects a scheduled advertisement, AdBIQ will provide reasonable notice to affected Users and suggest alternative placements when feasible.
- Subscription Pricing Adjustments: AdBIQ reserves the right to adjust pricing for subscription plans. Users will receive a 30-day advance notice via email before any pricing changes take effect. Users who do not agree to the new pricing may cancel before the new rates apply, ensuring no unexpected charges.
6. Content & Compliance
6.1 Content Submission Requirements
- Users are responsible for ensuring that all submitted advertisements comply with AdBIQ’s technical and content guidelines.
- Failure to submit compliant materials may result in rejection without a refund.
6.2 Prohibited Content
The following content is strictly prohibited in advertisements:
- Explicit, obscene, or adult material.
- Political endorsements or controversial statements.
- False or misleading advertising claims.
- Copyright-infringing materials.
- Hate speech or discriminatory content.
- Content that violates any local, state, or federal laws.

6.3 Moderation & Approval Process
- All submitted banners are subject to AdBIQ’s review and approval.
- AdBIQ reserves the right to reject any advertisement that does not meet its content policies.
- If an ad is rejected, the User will be notified and given an opportunity to submit a revised version within 48 hours.
- If the revised submission still fails to comply, the advertisement slot will be forfeited without a refund.
6.4 Legal Compliance
- Users must ensure that their advertisements comply with all applicable laws and industry standards.
- AdBIQ is not responsible for any legal claims arising from User-submitted advertisements.
- Users agree to indemnify and hold AdBIQ harmless from any claims, damages, or liabilities resulting from non-compliant content.
7. Temporary Suspension & Early Termination
7.1 Temporary Suspension (Ad Pause Option)
- Users may request a temporary suspension of their advertisement for a maximum of 21 consecutive days per 30-day billing cycle.
- Suspension requests must be:
- Submitted via email to AdBIQ support at least 48 hours before the intended pause start date.
- Limited to one pause per billing cycle (no multiple suspensions within the same cycle).
- Resumed automatically after 21 days if not reactivated sooner.
- Users will not receive a refund or prorated credit for paused days—ads resume for the remainder of the original billing cycle.
7.2 Early Termination (User-Initiated Cancellation Before Period Ends)
- Users may cancel their subscription at any time, but:
- Advertisements will continue to run until the end of the paid period.
- No refunds, partial credits, or compensation will be issued for unused time.
- If a User chooses to permanently suspend an ad before the 30-day period ends, the ad will still remain active until the expiration date.
7.3 Early Termination (AdBIQ-Initiated Cancellation)
- AdBIQ reserves the right to immediately terminate an advertisement if:
- The ad violates AdBIQ’s content policies (e.g., prohibited content, legal non-compliance).
- The User provides fraudulent or misleading information during the purchase.
- The advertisement becomes legally or technically impossible to display (e.g., regulatory changes, billboard operator restrictions).
- In cases of AdBIQ-initiated termination, Users will receive either:
- A full refund if termination occurs before the ad begins.
- No refund if the termination occurs after the ad has been displayed.
8. Reporting & Analytics
8.1 Invoice & Payment Confirmation
- Users will receive an invoice via email upon successful payment processing through Stripe.
- Payment confirmation will include:
- Order details (billboard locations, selected placement dates).
- Total payment amount and transaction ID.
8.2 Ad Impression Tracking
- AdBIQ provides standard reporting via email on a weekly basis, including:
- Billboard location-specific impression reports.
- Status updates on the advertisement’s display rotation.
- Live tracking dashboards are not provided unless explicitly stated in the User’s selected pricing plan.
- Impression counts are based on third-party data models and are estimated, not exact figures.
8.3 Invoice Reissuance & Corrections
- If a User needs a duplicate invoice, requests must be sent via email.
- Invoice modifications (e.g., tax ID adjustments, business name corrections) may take up to 5 business days to process.
9. Technical Factors Affecting Impressions
9.1 Estimated Nature of Impressions
AdBIQ provides ad placement only and does not guarantee specific views, clicks, or engagements. Estimated impressions are based on historical data, industry analytics, and external factors, such as:
- Traffic Patterns: The volume of daily vehicle and pedestrian traffic fluctuates due to seasonal, construction-related, or event-based changes.
- Weather Conditions: Visibility may be affected by adverse weather such as fog, rain, snow, or other environmental conditions.
- Digital Billboard Rotation: Ads are displayed on a rotational basis with other advertisers, meaning exposure frequency depends on overall campaign demand.
Impression Verification & Disputes: Users acknowledge that impressions are estimates based on historical data and external market conditions. If a User disputes impression delivery, they must submit a written request within 7 days of the campaign’s end. AdBIQ will provide tracking logs from its third-party partners as the final verification source. Impression discrepancies do not constitute grounds for refunds or chargebacks.
9.2 Auction-Driven Ad Placements
- Some billboard locations operate on an auction-based model, where ad slots are determined by real-time bidding.
- Users acknowledge that auction-driven placements may cause variability in ad display frequency, depending on:
- The total number of advertisers competing for space.
- Bid fluctuations based on market conditions.
- The billboard operator’s scheduling policies.
- AdBIQ does not control auction pricing fluctuations and is not liable for changes in impression volume resulting from bidding competition.
9.3 Technical Interruptions & Billboard Downtime
- Billboard operators may conduct system updates, maintenance, or emergency repairs, causing temporary disruptions in ad display.
- If a billboard experiences a prolonged outage exceeding 48 consecutive hours, AdBIQ will offer:
- A proportionate service credit for the impacted time period.
- An alternative placement if available.
- Temporary downtime under 48 hours is considered an industry-standard occurrence and does not warrant compensation.
10. Disclaimer of Guarantees
10.1 No Guarantees of Business Outcomes
Users acknowledge that billboard advertising is primarily a visibility-based service, and AdBIQ does not guarantee:
- Specific financial returns or marketing success.
- The effectiveness of advertising campaigns, as outcomes depend on User creative strategy, ad placement, and market conditions.
10.2 External Market Factors
The performance of any advertisement may be influenced by external industry dynamics, including but not limited to:
- Market competition & seasonal trends affecting consumer behavior.
- Ad recall rates & audience response variability.
- Broader economic conditions impacting consumer spending patterns.
10.3 Operational Adjustments & Service Limitations
- Billboard networks are operated by independent third-party providers, and AdBIQ has no control over changes made by these entities.
- Users acknowledge that billboard operators may modify ad availability, pricing structures, or placement rules at their discretion.
- Regulatory changes, industry policies, or force majeure events may impact advertising schedules, and AdBIQ assumes no liability for such occurrences.
10.4 Payment Processor
"Payment Processor" refers to Stripe or any other third-party payment service provider selected by AdBIQ to process payments, manage recurring billing, and facilitate payment-related services.
- AdBIQ reserves the right to change the Payment Processor at its sole discretion for new customers without prior notice.
- All references to "Stripe" in this Agreement shall be understood to mean "Payment Processor" and apply to any payment system used by AdBIQ.
- Users agree that their continued use of AdBIQ’s services constitutes acceptance of the Payment Processor in place at the time of transaction.
10.5 Temporary Billboard Outages & Operator Maintenance
- Billboard operators may conduct routine maintenance, system upgrades, or emergency repairs, leading to temporary ad display interruptions.
- If an outage exceeds 48 consecutive hours, AdBIQ will offer:
- A proportionate credit for the affected period.
- An alternative billboard placement, if available.
- Temporary service disruptions do not constitute service failure or liability on AdBIQ’s part.
11. Liability & Limitations
11.1 Impression Estimates & No Guarantees
- Impression counts provided by AdBIQ are projected estimates based on:
- Traffic patterns and fluctuations at billboard locations.
- Geographic and environmental conditions affecting visibility.
- Historical data and industry-standard tracking models.
- Actual impressions may vary due to external factors outside of AdBIQ’s control, including:
- Weather conditions (e.g., rain, fog, extreme sunlight reducing visibility).
- Billboard maintenance or temporary outages by third-party operators.
- Changes in traffic volume affecting ad exposure.
- Ad Display Model: Advertisements are shown based on availability, scheduling rotations, and auction-based bidding where applicable.
- No Guarantees: AdBIQ does not guarantee a specific number of impressions, audience engagement, lead generation, or revenue conversion.
11.2 Third-Party Billboard Operators
- AdBIQ partners with independent third-party billboard operators to facilitate ad placements.
- Users acknowledge that AdBIQ does not own or directly control the billboards and is not liable for:
- Technical malfunctions, maintenance, or service interruptions caused by billboard operators.
- Policy enforcement by third-party operators, including content restrictions beyond AdBIQ’s internal requirements.
- Availability changes due to operational or contractual adjustments by billboard operators.
11.3 Limitations of Liability
- AdBIQ shall not be liable for:
- Indirect, incidental, special, punitive, or consequential damages, including loss of revenue, business disruption, or anticipated profits.
- User-generated content issues, including regulatory violations or third-party claims.
- Acts beyond AdBIQ’s control, including service interruptions due to third-party billboard providers, force majeure events, or changes in law.
- The total liability of AdBIQ shall not exceed the amount paid by the User for the affected advertising period.
- Exclusive Remedy for Technical Errors:
- If an advertisement experiences a technical display issue due to an error caused by AdBIQ, the sole and exclusive remedy is a proportionate service credit for the affected period.
12. Governing Law & Amendments
12.1 Jurisdiction & Applicable Law
- This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.
- Exclusive Jurisdiction: Any disputes, claims, or legal proceedings must be brought exclusively in the courts of Broward County, Florida.
- Users waive any right to claim jurisdiction in another state or country.
- If a provision of this Agreement is found to be unenforceable under Florida law, it shall be modified to the minimum extent necessary to comply with state regulations.
12.2 Good Faith & Fair Dealing
- AdBIQ operates its services in good faith and in accordance with reasonable business practices. However, AdBIQ retains the discretion to enforce its policies in a manner that best aligns with operational and legal requirements. Nothing in this Agreement shall be construed as waiving AdBIQ’s right to protect its interests while complying with all applicable laws.
12.3 Modification & Amendments
- AdBIQ reserves the right to modify this Agreement at any time, with or without notice.
